Terms of Service

Acceptance of Terms

By accessing or using any Circle Software product or service — including FocusDB, TestDB, WorkforceDB, CircleCore infrastructure, and our corporate website — you agree to be bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.

Services

Circle provides cloud-based enterprise software platforms delivered as a service. Specific features, availability, and service levels are defined in your individual subscription agreement or order form. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. Circle employs PQC-authenticated access controls and recommends enabling multi-factor authentication on all accounts.

Data Ownership

You retain all rights to your data. Circle does not claim ownership of any content you submit, store, or process through our platforms. We process your data solely to provide the contracted services and will not use customer data for training AI models without explicit, documented consent.

TS3 Metering & Billing

Usage is metered across four dimensions — Time, Storage, Speed, and Support — via the TS3 engine. Billing occurs on the schedule defined in your subscription agreement. Disputed charges must be reported within 30 days. Detailed usage data is available in real-time through your account dashboard.

Service Level Agreement

Circle commits to 99.99% uptime for all production services. Downtime credits are calculated and applied automatically. Scheduled maintenance windows are communicated at least 72 hours in advance and do not count toward downtime calculations.

Limitation of Liability

To the maximum extent permitted by law, Circle's total liability for any claim arising from these terms or your use of the services will not exceed the fees paid by you in the 12 months preceding the claim. Circle is not liable for indirect, incidental, special, or consequential damages.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Boston, Massachusetts.
